1. About these Terms

These Terms and Conditions ("Terms") govern your access to, and use of, the Zoned website, platform, applications and related services (collectively, the "Platform") operated by Zoned Intelligence Pty Ltd (ACN 698 471 251, ABN 76 698 471 251) trading as Zoned ("Zoned", "we", "our" or "us").

The Platform provides users with access to AI-assisted mapping, zoning, planning and property-related information, together with associated digital tools, insights and other functionality made available by Zoned from time to time.

By creating an account, accessing or using the Platform, you acknowledge that you have read, understood and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not access or use the Platform.

These Terms constitute a legally binding agreement between you and Zoned.

2. Changes to these Terms

We may amend these Terms from time to time to reflect changes to our Platform, technology, legal obligations or business operations.

The current version of these Terms will always be made available through the Platform and will take effect from the date specified above unless otherwise stated.

Where a change materially affects your rights or obligations, we will take reasonable steps to notify registered users before the change takes effect. Your continued use of the Platform after the updated Terms become effective constitutes your acceptance of those changes.

If you do not agree with any amendment, you must discontinue your use of the Platform.

4. Application of these Terms

The public-facing website may be accessed without creating an Account. Your use of the public-facing website is subject only to those provisions of these Terms that reasonably apply to website visitors, including those relating to intellectual property, acceptable use, disclaimers, limitation of liability and governing law.

Access to and use of the Platform requires a registered Account. By creating an Account or otherwise accessing or using the Platform, you acknowledge that you have read and understood these Terms and agree to be bound by them in full.

5. Eligibility

You may only use the Platform if:

If you access or use the Platform on behalf of a company, trust, partnership or other organisation, you represent and warrant that you have authority to bind that entity to these Terms, and references to "you" include that entity.

6. Your Account

Access to the Platform (other than the public-facing website) requires a registered Account and an active paid subscription.

When creating and maintaining an Account, you agree to:

6.1 Seats and concurrent access. Accounts are personal to the named user and must not be shared. You may sign in on more than one of your own devices, but each seat permits use by one person at a time: where an Account is used from more than one device at the same time, earlier sessions may be ended automatically. Where more than one person requires access, a seat must be purchased for each person.

You are responsible for all activity conducted through your Account unless caused by our negligence or failure to maintain reasonable security measures.

We may require identity verification or additional information where reasonably necessary to protect the integrity, security or lawful operation of the Platform.

7. Licence to use the Platform

Subject to these Terms, Zoned grants you a limited, revocable, non-exclusive, non-transferable and non-sublicensable licence to access and use the Platform for your lawful personal or internal business purposes, including generating and sharing Output produced through your Account for the purposes of your own projects, provided that neither the Output nor the Platform, its Content or any Third-Party Data is resold, republished or systematically redistributed contrary to these Terms.

The licence granted under these Terms is personal to you, does not transfer ownership of any Intellectual Property Rights in the Platform or its Content, and may be revoked in accordance with these Terms.

Except where expressly permitted by law or with our prior written consent, you must not:

For the avoidance of doubt, nothing in this clause prevents you from sharing reports or other Output generated through your Account with your clients, consultants, contractors, professional advisers or other persons involved in your own project or transaction, provided such sharing is for the purposes of that project or transaction and does not constitute the resale, republication or systematic redistribution of the Platform, its Content or Third-Party Data.

All rights not expressly granted to you are reserved by Zoned.

8. Acceptable use

You agree to use the Platform responsibly and only for lawful purposes.

You must not use the Platform to:

8.1 Fair use and service limits. The Platform applies reasonable usage limits per Account to protect performance, availability and the integrity of Third-Party Data, including limits on the rate and daily volume of requests, on the number of AI-assisted queries per day and on the volume of premium aerial imagery consumed. Current limits are set at a level well above normal interactive use. Where an Account exceeds a limit, further requests may be temporarily declined until the limit resets. Zoned may adjust these limits from time to time and will not reduce them in a way that materially degrades normal use of a paid subscription without notice. Accounts requiring higher limits may contact us to discuss enterprise arrangements.

We may investigate suspected misuse of the Platform and take any action reasonably necessary to protect the Platform, our users, our systems and our legitimate business interests.

9. Suspension, disabling and restriction of access

We may suspend, disable, restrict or terminate access to all or part of the Platform where we reasonably believe:

Where reasonably practicable, we will notify you of any suspension and the reasons for it.

Any suspension, restriction or termination does not affect any rights or remedies available to Zoned under these Terms or at law.

10. Additional services

From time to time, we may introduce additional products, subscription plans, premium functionality, APIs or enterprise services.

Those services may be subject to additional terms, which will be made available before you access or use them. Where additional terms apply, they form part of these Terms and, to the extent of any inconsistency, prevail in relation to those additional services.

11. Subscriptions and payments

Unless otherwise agreed in writing, access to paid Services is provided on a subscription basis in accordance with the following:

11.11 Cancellation and plan changes. You may cancel a subscription, change between the monthly and annual plans, and update your payment details at any time through the billing portal available in your Account settings, or by contacting us. Cancellation takes effect at the end of the current paid period, and you retain access until that date. Except as required by the Australian Consumer Law, fees already paid for the current period are not refunded.

12. Relationship with other documents

These Terms are to be read together with our Privacy Policy and any additional terms or policies that apply to particular Services or features of the Platform.

To the extent of any inconsistency between these Terms and any additional terms, the additional terms prevail only in relation to the relevant Service or feature to which they apply.

Where Zoned and a customer have entered into a separate written agreement governing the provision of the Services (including an enterprise, reseller or other negotiated agreement), that agreement prevails over these Terms to the extent of any inconsistency.

13. AI-generated content and Output

The Platform incorporates artificial intelligence, machine learning and other automated technologies (collectively, AI Technologies) to generate, analyse and present information, insights, recommendations, maps and other Output.

You acknowledge and agree that any Output generated through the Platform:

While Zoned uses reasonable efforts to improve the quality and reliability of the Platform, AI Technologies are inherently probabilistic and Zoned does not warrant that any Output will be accurate, complete, current, suitable for your intended purpose or free from defects.

You remain solely responsible for assessing the suitability of any Output and for all decisions, actions or omissions arising from your use of the Platform.

14. Information purposes only

The Platform and all Content, Services and Output are provided for general informational purposes only.

Nothing made available through the Platform constitutes, or is intended to constitute: legal advice; financial or investment advice; taxation or accounting advice; town planning or development advice; surveying or engineering advice; property valuation advice; real estate advice; insurance advice; building or construction advice; or any other form of professional advice.

You must not rely solely upon any Content or Output when making legal, financial, commercial, investment, planning, development or property-related decisions. You are responsible for exercising your own judgement and making your own enquiries before acting on any Output.

Before acting on any information obtained through the Platform, you should obtain independent advice from an appropriately qualified professional relevant to your particular circumstances.

Subject to any rights that cannot lawfully be excluded, your use of the Platform is at your own risk.

15. Property, zoning and mapping information

The Platform provides access to property-related information, including zoning, planning and mapping information obtained from a range of sources.

You acknowledge that:

Accordingly, the Platform is intended to assist users in conducting preliminary property and planning research and should not be relied upon as the sole source of information for any property or development decision.

You are responsible for independently verifying all property, zoning, planning and land-related information with the relevant government authority, local council or other appropriate source before relying upon or acting on that information.

16. Third-Party Data

The Platform may incorporate, display or otherwise make available Third-Party Data obtained from government agencies, local councils, statutory authorities, commercial licensors, publicly available datasets and other external sources.

Third-Party Data remains the property of its respective owner unless otherwise stated.

You acknowledge and agree that:

Certain Third-Party Data may be made available subject to additional licence terms notified through the Platform from time to time. By accessing or using that Third-Party Data, you agree to comply with those additional licence terms.

Zoned does not control the creation, maintenance or accuracy of Third-Party Data and provides all Third-Party Data on an "as is" and "as available" basis. Zoned cannot guarantee that such information will be complete, accurate, current or suitable for your intended purpose.

You are responsible for independently verifying any property, zoning, planning, cadastral or other information obtained through the Platform with the relevant local council, titles office, government authority or other appropriate authority before relying upon or acting on that information.

We are not responsible for: inaccuracies or omissions in Third-Party Data; delays in updating Third-Party Data; changes made by third-party data providers; the removal or discontinuation of Third-Party Data; any decision made in reliance upon Third-Party Data; or interruptions in the availability of Third-Party Data.

Where Third-Party Data becomes unavailable or our right to use that data changes, we may modify, suspend or remove access to that information without prior notice.

Zoned does not endorse or adopt Third-Party Data merely because it is made available through the Platform.

17. Premium aerial imagery

The Platform includes high-resolution aerial imagery supplied by third-party licensors, including the MetroMap service operated by Aerometrex Limited ("Premium Imagery"). Premium Imagery is made available for viewing within the Platform, and for inclusion in reports generated through your Account for the purposes of your own projects, in accordance with clause 7.

You acknowledge and agree that:

17.1 Excessive usage. Where Premium Imagery consumption on an Account materially exceeds the volumes reasonably associated with normal interactive use of a single seat, or indicates automated, scripted or bulk retrieval, Zoned may, acting reasonably: throttle or temporarily decline further Premium Imagery requests; restrict or disable access to Premium Imagery for the Account; or, in the case of serious or repeated excessive use or use in breach of this clause, suspend or terminate the Account in accordance with clauses 9 and 28. Where practicable, we will contact you before restricting an Account so that any legitimate high-volume requirement can be accommodated under an appropriate enterprise arrangement.

18. Platform availability

While we use reasonable efforts to maintain the availability and security of the Platform, we do not guarantee that the Platform or any part of it will be continuously available, uninterrupted or error-free.

From time to time, access to the Platform may be suspended, restricted or interrupted as a result of: scheduled maintenance; emergency maintenance; software updates or upgrades; hardware or infrastructure failures; telecommunications or internet outages; cyber security incidents; failures affecting third-party service providers; denial of service attacks or other malicious cyber activity; or events beyond our reasonable control.

To the maximum extent permitted by law, Zoned is not liable for any loss arising from any interruption, delay, suspension or unavailability of the Platform.

19. Intellectual Property Rights

Unless otherwise stated, all Intellectual Property Rights in the Platform, Services, Content, Output, AI Technologies, software, databases, interfaces, branding, logos, designs, text, graphics and other materials are owned by, or licensed to, Zoned.

Except as expressly provided in these Terms, no licence or right is granted to you in relation to any Intellectual Property Rights owned by or licensed to Zoned.

Nothing in these Terms transfers ownership of any Intellectual Property Rights to you.

Subject to the licence granted under clause 7, you acquire no right, title or interest in the Platform other than the limited right to use it in accordance with these Terms.

You must not remove, alter or obscure any copyright notice, trademark or proprietary notice appearing on the Platform.

The name "Zoned", associated branding, logos and other trademarks displayed on the Platform are owned by or licensed to Zoned and must not be used without our prior written consent.

You must not use the Zoned name, branding or trademarks in any manner that suggests sponsorship, endorsement or affiliation without our prior written consent.

20. User Content

20.1 Ownership and licence. You retain ownership of any User Content that you upload or submit through the Platform.

By submitting User Content, you grant Zoned a non-exclusive, worldwide, royalty-free, transferable, sublicensable licence to use, reproduce, store, modify, adapt and otherwise deal with that User Content solely to the extent reasonably necessary to: provide the Services; operate, maintain and improve the Platform; develop new functionality; comply with legal obligations; and enforce these Terms.

20.2 Your responsibilities. You warrant that:

20.3 Third-party personal information. You may have the ability to record information about other people within your Account, including contact details and notes relating to property owners, agents or other parties relevant to your project. Where you do so, you warrant that you are authorised to collect, use and record that information for that purpose, and that you will comply with the Privacy Act 1988 (Cth) and the Spam Act 2003 (Cth) in respect of it. You must not record personal information about another person for the purpose of sending unsolicited commercial messages. Zoned holds that information on your behalf as part of your Account and does not use it for its own marketing purposes. You are responsible for the accuracy and lawfulness of information you record about other people, and you must delete it where you no longer have a lawful basis to hold it.

We reserve the right to remove, suspend or restrict access to User Content that we reasonably believe breaches these Terms or may expose Zoned or another person to legal or regulatory risk.

21. Feedback

If you provide suggestions, comments, ideas, recommendations or other feedback regarding the Platform or Services ("Feedback"), you grant Zoned a perpetual, irrevocable, worldwide, royalty-free, transferable and sublicensable licence to use, reproduce, modify, adapt, commercialise and otherwise exploit that Feedback without restriction or compensation to you.

You acknowledge that Zoned is under no obligation to implement or respond to any Feedback.

You also acknowledge that similar ideas, features or functionality may already be under development by Zoned.

22. Third-party links and services

The Platform may contain links to third-party websites, applications, products or services for your convenience. Those third-party websites and services are not owned or controlled by Zoned.

The inclusion of any link does not constitute an endorsement, recommendation or approval by Zoned of any third-party website, product or service. Zoned does not monitor, review or verify the content of third-party websites or services.

Your access to, and use of, any third-party website or service is entirely at your own risk and subject to the terms and privacy practices of the relevant third party.

Zoned accepts no responsibility or liability for any third-party website, service, content or material, including any loss, damage, liability or expense arising from your access to or use of those third-party services.

23. Modifications to the Platform

Zoned may, at any time and without prior notice, modify, update, suspend or discontinue any part of the Platform or Services where reasonably necessary for operational, commercial, legal or security reasons.

We will use reasonable efforts to minimise disruption where any modification materially affects the availability of the Platform.

Continued access to or use of the Platform following any modification constitutes acceptance of the modified Platform.

24. Warranties and disclaimers

To the maximum extent permitted by law, the Platform, Services, Content and Output are provided on an "as is" and "as available" basis, without any representations or warranties except as expressly set out in these Terms.

Except as expressly provided in these Terms or required by applicable law, Zoned makes no representation or warranty, whether express, implied or statutory, in relation to the Platform, Services, Content or Output, including any warranty that they will: be accurate, complete or current; be suitable for your particular circumstances or intended purpose; operate without interruption, delay or error; be secure or free from viruses, malware or other harmful components; be compatible with your devices, software or systems; produce any particular outcome or result; or meet your individual requirements or expectations.

Nothing in these Terms excludes, restricts or modifies any guarantee, condition, warranty, right or remedy that cannot lawfully be excluded, restricted or modified under applicable law, including the Australian Consumer Law.

25. Australian Consumer Law

Where you acquire goods or services from Zoned as a consumer within the meaning of the Australian Consumer Law, you may have rights that cannot be excluded, restricted or modified.

Nothing in these Terms excludes, restricts or modifies any consumer guarantee or other statutory right to the extent such exclusion, restriction or modification would contravene applicable law.

Where the law permits Zoned to limit its liability for a breach of a non-excludable guarantee, Zoned's liability is limited, at its election, to: supplying the relevant services again; or paying the cost of having the relevant services supplied again.

26. Limitation of liability

26.1 Exclusion of liability. To the maximum extent permitted by law, Zoned is not liable for any indirect, incidental, consequential, special, exemplary or punitive loss or damage arising out of or in connection with: your access to or use of the Platform; your inability to access or use the Platform; any Content, Output or Third-Party Data; any interruption, delay, suspension or unavailability of the Platform; unauthorised access to or alteration of your Account or User Content; reliance upon information obtained through the Platform; any third-party website, service or product; or any decision, transaction or action taken by you in reliance on the Platform, Services, Content or any Output.

Without limiting the foregoing, Zoned is not liable for any loss of profits, revenue, business opportunities, goodwill, anticipated savings, contracts, production, data or business interruption.

26.2 Limitation of liability. Subject to any liability that cannot lawfully be excluded or limited, Zoned's aggregate liability arising out of or in connection with these Terms, whether in contract, tort (including negligence), equity, statute or otherwise, in aggregate will not exceed:

This clause survives the termination of these Terms.

27. Indemnity

To the maximum extent permitted by law, you indemnify Zoned, its directors, officers, employees, contractors and agents against any loss, liability, claim, damage, cost or expense (including reasonable legal costs on a solicitor and own client basis) arising from a claim made by a third party against Zoned in connection with:

Your liability under this clause is reduced to the extent that any loss is caused or contributed to by Zoned's negligence or breach of these Terms.

28. Termination

You may cease using the Platform and terminate your Account at any time by cancelling your subscription through the billing portal in your Account settings, or by contacting us.

We may suspend or terminate your Account immediately where we reasonably believe that: you have breached these Terms; your continued use of the Platform presents a security, legal or operational risk; we are required to do so by law; or it is otherwise reasonably necessary to protect the Platform, our users or our legitimate business interests.

Upon termination: your right to access and use the Platform immediately ceases; any licences granted to you under these Terms immediately terminate; and clauses intended to survive termination continue in full force and effect.

Where you ask us to delete your Account, we delete the Personal Information held in it together with your saved sites, notes, reports and search history, as described in our Privacy Policy. Records we are required to retain by law, including invoices and payment records, are kept for the period required.

Termination does not affect any rights or remedies that accrued before termination.

We may also retain or delete Account information following termination in accordance with our legal obligations and Privacy Policy.

29. Governing law and jurisdiction

These Terms are governed by the laws of Queensland, Australia.

You irrevocably submit to the exclusive jurisdiction of the courts of Queensland and the courts of Australia exercising jurisdiction in Queensland in respect of any dispute arising out of or in connection with these Terms or your use of the Platform.

30. General provisions

30.1 Entire agreement. These Terms, together with the Privacy Policy and any additional terms applicable to particular Services, constitute the entire agreement between you and Zoned regarding your use of the Platform.

30.2 Severability. If any provision of these Terms is held to be unlawful, invalid or unenforceable, that provision will be severed to the extent necessary, and the remaining provisions will continue in full force and effect.

30.3 Waiver. A failure or delay by Zoned to exercise any right, power or remedy under these Terms does not operate as a waiver of that right, power or remedy.

30.4 Assignment. You must not assign, transfer or otherwise deal with your rights or obligations under these Terms without our prior written consent. Zoned may assign, novate or otherwise transfer its rights and obligations under these Terms without your consent in connection with a corporate restructure, merger, acquisition, sale of its business or assets, or any other change in ownership or control.

30.5 Force majeure. Zoned is not responsible for any delay or failure to perform its obligations under these Terms where that delay or failure arises from events beyond its reasonable control, including natural disasters, acts of government, pandemics, industrial disputes, cyber incidents, failures of cloud hosting providers, telecommunications failures, internet service interruptions, or interruptions to third-party services.

30.6 Notices. Any notice required or permitted to be given under these Terms may be provided by email, through the Platform, by publication on the Platform or by any other reasonable electronic means.

30.7 Headings. Headings are included for convenience only and do not affect the interpretation of these Terms.

30.8 No partnership or agency. Nothing in these Terms creates any partnership, joint venture, employment, agency or fiduciary relationship between you and Zoned.

30.9 Survival. Clauses relating to Intellectual Property Rights, User Content, Feedback, Warranties and Disclaimers, Australian Consumer Law, Limitation of Liability, Indemnity, Governing Law, General Provisions and any other provision intended by its nature to survive termination continue in full force and effect following termination of these Terms.

They remain in force until amended, replaced or withdrawn by Zoned. The current version of these Terms will always be made available through the Platform. We may amend these Terms from time to time to reflect changes to our Platform, technology, legal obligations or business operations. Your continued access to or use of the Platform after any updated version becomes effective constitutes your acceptance of the revised Terms. If you do not agree to any changes, you must immediately cease using the Platform and, where applicable, discontinue your Account. These Terms should be read together with our Privacy Policy and any additional terms, policies or notices that apply to specific features, products or services made available through the Platform.
